Terms and Conditions of Use for Local Warden
By accessing or using the Local Warden platform in any capacity, you agree to be legally bound by these Terms. If you do not accept these Terms in full, you may not use the platform or its associated services.
1. Account Registration and Eligibility
1.1 You must be at least 18 years old and legally capable of entering into binding agreements to register and use the platform.
1.2 You may create only one account per business entity or individual. We reserve the right to suspend or terminate duplicate or fraudulent accounts.
1.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify us immediately of any unauthorized use of your account.
2. Scope of Services
2.1 Local Warden provides:
- Crowdsourced review flagging coordination tools
- Local SEO auditing and monitoring features
- Competitor profile scanning for compliance violations
- Review management and reporting systems
- Optional agency-tier tools for client account coordination
2.3 We do not guarantee that any flagged reviews will be removed. All review removal decisions are made by the third-party platform (e.g., Google).
3. Acceptable Use
You agree not to:
- Misuse the review flagging tools for malicious, false, or harassing purposes
- Use bots, automated scripts, or spoofed accounts to generate flags
- Incentivize third parties to submit or flag reviews in violation of third-party terms (e.g., Google)
- Impersonate another user or business
- Reverse engineer, resell, or white-label Local Warden services without written consent
- Upload, store, or transmit any content that violates applicable law, privacy rights, or intellectual property rights
4. User-Generated Activity and Legal Responsibility
4.1 When submitting a review flag through our platform, you acknowledge that:
- You are doing so based on your own judgment after reviewing the content
- You represent that you have been personally affected by or are legitimately authorized to flag the review
- You understand Local Warden is not responsible for the result of your submission
5. Subscription Terms and Billing
5.1 Local Warden is a subscription service. You agree to pay all fees associated with your chosen plan, which are billed in advance on a monthly or annual basis.
5.2 Unless cancelled prior to the next billing date, your subscription will automatically renew using the most recent payment method on file.
5.3 Local Warden does not offer refunds, including for partial months or mid-period cancellations. Cancellation will stop future renewals but will not refund past charges.
5.4 We reserve the right to change our pricing with 30 days’ notice.
6. Termination
6.1 We may suspend or terminate your access without notice if:
- You breach these Terms or our Acceptable Use Policy
- You use our services in a way that may harm other users or our reputation
- You engage in abuse of trials, duplicate accounts, or fraudulent activity
7. Agency Users and Client Access (Section B)
If you are an SEO consultant, agency, or digital marketing firm using Local Warden on behalf of clients, the following terms apply:
B1. Agency Responsibilities
- You confirm you have obtained proper authorization from your clients to submit data or flag reviews on their behalf.
- You are solely responsible for the use of the platform under your agency account, including actions taken by your staff or subcontractors.
- You must maintain direct contracts with your clients. Local Warden is not a party to any agency-client relationship.
B3. Indemnity and Legal Release You agree to indemnify Local Warden against any claims, liabilities, or losses arising from the actions of your clients or agency employees while using the platform.
8. Intellectual Property
8.1 Local Warden, its software, designs, processes, and algorithms are the exclusive property of [Your Company Name].
8.2 You are granted a limited, non-transferable, revocable license to use the platform for its intended business purpose. You may not modify, reproduce, or reverse engineer any part of the platform.
8.3 Data you submit to Local Warden remains yours. However, you grant us a non-exclusive license to use that data to provide, analyze, and improve the Service.
9. Limitation of Liability
To the maximum extent permitted by law:
- We do not warrant any specific business outcome, ranking improvement, or review removal
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim or $100 — whichever is greater
10.1 We collect and retain business-related data such as:
- Review links, business URLs, flagging actions, and public-facing GBP information
- Account login details and basic usage analytics
10.3 You may request deletion of your account and associated data at any time by contacting us at worker@localwarden.com.
11. Beta Features
Some parts of the platform may be offered as beta or experimental tools. These may be incomplete or unstable. You agree to use beta features at your own risk, and we disclaim any liability associated with them.
12. Governing Law and Disputes
These Terms are governed by the laws of Canada. Any disputes shall be resolved exclusively in the courts located in that jurisdiction.
13. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the platform after such updates constitutes acceptance.
